GENERAL TERMS AND CONDITIONS OF SALE
This document establishes the commercial conditions governing the sale, import, export, and supply of furniture between the OWNER and the CLIENT. QUOTES AND ORDERS
• All quotes or estimates issued will be valid for 30 calendar days.
Orders are only considered firm after written confirmation from the OWNER.
Order confirmation requires payment of the agreed initial percentage.
Order cancellations will not be accepted once manufacturing or the shipping process has begun. PRICES AND CURRENCY
• Prices are set in Euros (€) unless another currency is agreed upon in writing.
• Prices shown do not include VAT, duties, customs fees, or local transport costs.
• Any subsequent changes to official taxes and fees will be applied directly to the final price.
PAYMENT TERMS
• The standard payment method requires 50% of the total upon order confirmation and the remaining 50% before shipment.
• Failure to pay any installment will immediately suspend the manufacture or delivery of the furniture.
• The OWNER retains full ownership of the furniture until full payment is received.
LOGISTICS, DELIVERY, AND INCOTERMS
• Sales are governed by the Incoterms rules expressly agreed upon in the commercial invoice.
• In the absence of an explicit agreement, delivery will be made under Ex Works (EXW) terms.
• Delivery times indicated are always estimates and are indicative.
• Delays due to customs inspections or external transport will not entitle the customer to compensation or cancellations.
GOODS RECEIPT AND CLAIMS
• The CUSTOMER is obligated to inspect the condition of the furniture at the exact time of delivery.
• Visible damage must be noted immediately on the carrier's delivery note.
• Hidden damage or internal defects must be reported in writing within a maximum of 4 calendar days.
• Claims or returns of goods will not be accepted outside of the indicated timeframes.
WARRANTY AND LIMITATION OF LIABILITY
• The warranty covers exclusively manufacturing defects in accordance with applicable legal regulations.
• Damage due to misuse, humidity, direct sunlight, or improper assembly is excluded.
• The OWNER's maximum liability is limited to the replacement value of the defective product.
APPLICABLE LAW AND JURISDICTION
• All contracts and commercial transactions are governed by Spanish commercial law.
• To resolve any dispute, the parties submit to the jurisdiction of the Courts of their city of residence.
